1. About these Terms
These Terms and Conditions (“Terms”) govern your use of Lithsted’s public website at https://lithsted.com, the Lithsted application at https://app.lithsted.com, Partner Membership, Lithsted software and related services, the Lithsted Review Helper, the partner referral programme, physical Lithsted Deck and sticker orders, and access to the private partner community.
By creating an account, purchasing or continuing Partner Membership, placing an order, or otherwise using the relevant Lithsted services, you agree to these Terms. If you do not agree, you should not use the services.
How Lithsted handles personal data is described in the Privacy Policy.
Nothing in these Terms affects any statutory rights you may have that cannot lawfully be excluded or limited.

The services are provided by Lithsted Ltd, a company incorporated in England and Wales with company number 17015657.

3. Eligibility and business use
You must be legally able to enter into a contract. Lithsted Partner Membership is primarily intended for people acting in a business, sole-trader or other commercial capacity as Lithsted Partners. That does not mean every user is excluded from consumer protections. Where consumer law applies to you, those rights remain.
You must provide accurate information and keep your account details up to date. You are responsible for activity on your account and for keeping login credentials confidential. Sharing credentials in order to circumvent membership, billing or access controls is prohibited.
4. Partner Membership
Current Partner Membership is £39 GBP per month. It is a recurring monthly subscription that renews until cancelled. Payment is processed by Stripe. The price and any applicable taxes shown at checkout prevail for that purchase.
Membership currently includes access to the Lithsted partner dashboard, business management, Google Business Profile / Places connection, Lithsted Review Helper, OpenAI-assisted review drafting, physical product ordering, the partner referral programme, the private Skool partner community, and account/billing tools. Lithsted Decks and other physical goods are separate purchases and are not included in the monthly membership fee.
Access to paid features depends on membership status. Lithsted may evolve, improve or adjust features over time. Lithsted does not guarantee sales, income, clients, review volume, Google rankings or business growth.
5. Billing and cancellation
Stripe handles recurring billing according to the subscription cycle. You may manage or cancel membership using the billing tools available in the Lithsted application, which open Stripe’s Customer Portal.
The Lithsted application records Stripe’s subscription status, including whether a subscription is set to cancel at the end of the current paid period. Lithsted does not currently provide a separate in-app “cancel immediately and delete the account” flow. Where a subscription is set to cancel at period end, paid access typically continues until that current paid period ends, unless Stripe or applicable law requires otherwise.
Monthly subscription charges are generally non-refundable once charged, except where required by applicable law, where mandatory statutory rights apply, or where Lithsted expressly agrees otherwise.
Nothing in these Terms attempts to waive legally mandatory cooling-off or other statutory rights that cannot lawfully be excluded.
6. Failed payments
If a payment fails or remains overdue, access to paid membership features may be affected. Stripe may retry payments according to its configured billing settings. Lithsted may suspend paid features while payment remains due. Lithsted does not treat a failed payment as automatic deletion of your account.
7. Physical products
Lithsted sells physical countertop products called Lithsted Decks, together with related stickers. Current partner pricing is £13 GBP per Deck, with a minimum Deck order of 10 Decks in total. Black and White Decks may be mixed. Additional or replacement stickers are £2 GBP each. Shipping is charged separately.
Every Deck is supplied with a Google Review sticker and a Lithsted Review Helper sticker already applied, plus two extra sticker choices per Deck. Availability, colours and configurations may vary. Minor variations in colour, finish or print can occur and do not automatically mean goods are faulty.
Payment is taken at checkout. Delivery details, destination and shipping charges are confirmed as part of the order. Title and risk pass in accordance with applicable law and the shipping arrangements for the order.
8. Order cancellation
If an order has not yet shipped, you may request cancellation by emailing support@lithsted.com. Lithsted will attempt to stop fulfilment where possible.
This operational process does not reduce any statutory cancellation rights that may apply. Where consumer distance-selling rights apply, those rights may include the right to notify Lithsted of cancellation within the applicable statutory period and to return goods within the legally permitted period.
9. Hardware returns and refunds
Lithsted accepts qualifying hardware return requests made within 14 days from the day of delivery. Contact support@lithsted.com to start the return or refund process. You may be asked to return the goods before a refund is completed.
Who pays return postage depends on the reason for return and on applicable law. Lithsted does not impose a single postage rule for every return. Faulty, damaged, misdescribed or otherwise legally non-conforming goods are dealt with in accordance with applicable statutory rights.
You are not required to leave goods unopened if that would unlawfully restrict any right you have to inspect them. Nothing in these Terms restricts broader mandatory consumer cancellation or faulty-goods rights that may apply under UK law.
10. International orders
International orders may be available. Shipping cost varies by destination. Some destinations may require a manual shipping quote before payment can be completed. Where customs, duties or import taxes apply, they may be payable by the recipient. Customs processes may cause delay.
11. Review Helper
The Lithsted Review Helper is designed to help a customer express their genuine experience. The customer supplies the underlying facts and opinion. Lithsted may use AI to draft or reword that information into a natural-language review. The customer may review and edit the output, and decides whether to copy it or continue to Google.
Lithsted does not automatically publish reviews. Generated output may contain errors. Users and customers must review content before posting. Lithsted does not guarantee that Google will accept or publish a review.
You must not use Lithsted to:
- fabricate reviews or fake customer experiences;
- coerce customers into statements they do not believe;
- create unlawful incentivised or manipulated reviews; or
- misrepresent genuine customer sentiment.
12. AI-generated content
OpenAI-assisted output is generated from information supplied during the Review Helper flow. AI output may be inaccurate, incomplete or repetitive. The customer and any Lithsted Partner using the service should review it before it is used. Lithsted does not guarantee uniqueness. The output is not professional legal, medical, financial or other regulated advice.
13. Google and third-party services
Lithsted uses or may interact with third-party services, including Google / Google Places / Google Business Profile, Stripe, OpenAI, Supabase, Vercel, Resend, Skool, and delivery or carrier providers. Those providers have their own terms and privacy policies. Lithsted is not endorsed by, affiliated with, or a partner of Google unless that is separately and formally true.
14. Businesses connected by partners
If you add or manage a client business, you must have authority or permission to use Lithsted for that business. Connecting a Google Business Profile does not prove legal ownership. Impersonation and false representation of authority are prohibited. You must ensure that client-facing use of Lithsted is lawful.
15. Acceptable use
You must not use Lithsted for:
- illegal activity or fraud;
- fake reviews or impersonation;
- spam, harassment or malware;
- scraping without permission;
- circumventing access controls or attacking security;
- abusing APIs;
- referral manipulation or payment fraud;
- sharing access to evade subscriptions; or
- misleading marketing.
16. User content
You retain ownership of content you own. Lithsted receives only the rights reasonably required to process, store and display that content in order to provide the service. You must have the right to submit content. Unlawful or infringing content is prohibited. Lithsted does not claim ownership of review content created by customers.
17. Intellectual property
Lithsted owns or is licensed to use the Lithsted name, logo, software, user interface, Deck and sticker designs, documentation, website copy and design, and other proprietary materials. You receive only a limited right to use the service while you are authorised to do so. You must not copy, reverse engineer, or exploit Lithsted materials except as permitted by these Terms or by law.
18. Partner status
Lithsted Partners are independent. They are not automatically employees, agents, franchisees, legal representatives or partners of Lithsted Ltd. A Lithsted Partner cannot bind Lithsted contractually unless Lithsted has expressly authorised that.
19. Partner marketing rules
Partner marketing must be accurate. You must not make guaranteed earnings claims, guaranteed review results, or guaranteed Google ranking claims. You must not pretend to be Lithsted Ltd itself, make misleading pricing statements, or misuse the Lithsted brand without authorisation.
20. Referral programme
Referral commission is currently earned at £10 GBP for each qualifying paid membership month attributable to a directly referred partner. Referral commission is available on direct referrals only. No second-level commission applies. There is no commission on physical product orders unless the application is later changed to support that; the current application creates commission only from qualifying paid membership invoices.
Commission is not payable merely because a referral has been made. Commission must first qualify, including by reference to a qualifying paid membership month and valid referral attribution. Lithsted does not guarantee payout before commission has qualified.
The minimum payout threshold is £50 GBP. That figure is a minimum threshold, not a fixed payout amount and not a cap on each payout. Once a partner’s eligible unpaid referral commission balance reaches at least £50, Lithsted will normally settle the full qualifying unpaid balance on the last Friday of the relevant month. Eligible balances below £50 will roll forward until the threshold is reached. Commission does not expire merely because the threshold has not yet been reached.
For example, an eligible unpaid balance of £40 would not yet be settled and would roll forward. If a further £30 later becomes eligible, the total eligible unpaid balance of £70 may be settled on the next applicable last-Friday payout date.
Payout timing may reasonably be affected by verification, banking delays, fraud prevention, security checks, or legal or regulatory requirements. Lithsted will not arbitrarily confiscate valid earned commission. Refunded, reversed or charged-back qualifying payments may result in the related commission being adjusted where appropriate. Lithsted may also correct genuine processing or calculation errors.
Self-referrals, fraudulent referrals, duplicate accounts and referral manipulation are prohibited. Referral attribution must be valid. Lithsted Partners remain responsible for their own tax obligations.
21. Community
Active membership may include access to a private partner community hosted using Skool or another third-party platform. Access may be provisioned or removed manually. You must follow community rules. Abusive or unlawful conduct may result in removal. Skool’s own terms also apply.
22. Service availability
Lithsted aims to keep the service available, but maintenance, outages and third-party failures may occur. Lithsted does not promise uninterrupted availability.
23. Changes to the service
Lithsted may make reasonable improvements and changes to the service. For material changes to paid services, Lithsted will provide reasonable notice where appropriate.
24. Suspension / termination
Lithsted may suspend or terminate access for serious breaches of these Terms, fraud, illegal activity, security threats, repeated payment failure, or misuse. Action will be proportionate to the circumstances. Already-earned commission will not be confiscated arbitrarily, though it may be reversed or corrected where a qualifying payment is refunded, charged back, or the commission was created in error or through abuse.
25. Warranties / disclaimers
Lithsted does not guarantee Google review publication, Google ranking, increased review numbers, sales, income, profitability, customer acquisition, or uninterrupted third-party services. Except as required by law, the services are provided on an “as available” basis.
Nothing in these Terms excludes or limits any statutory rights you may have that cannot lawfully be excluded or limited.
26. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including, where applicable, liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

27. Data protection
Lithsted’s handling of personal data is described at https://lithsted.com/privacy. Both parties must comply with applicable data-protection law where relevant.
Lithsted has not yet published a confirmed controller or processor classification for every data flow. That assessment remains subject to legal review and is not treated as settled in these Terms.

28. Force majeure
Lithsted is not responsible for delay or failure to perform caused by events outside its reasonable control, including infrastructure outages, industrial action, epidemic, fire, flood, war, terrorism, changes in law, or failure of a third-party provider.
29. Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. The unenforceable provision will be interpreted, so far as possible, to give effect to its intended meaning.
30. Waiver
A failure or delay in enforcing a right is not a waiver of that right. Any waiver must be express and in writing to be effective.
31. Assignment
You may not assign these Terms without Lithsted’s prior written consent. Lithsted may assign these Terms in connection with a reorganisation, sale or transfer of the business, provided the assignee assumes the relevant obligations.
32. Third-party rights
Except as required by law, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them. This is subject to legal review and does not affect any right or remedy that exists apart from that Act.
33. Governing law
These Terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction for disputes with business users. Mandatory consumer protections and jurisdiction rights remain unaffected where they apply.
34. Changes to these Terms
Lithsted may update these Terms from time to time. The “Last updated” date will change when we do. For material changes to paid services, Lithsted will provide reasonable notice where appropriate. Continued use after the updated Terms take effect constitutes acceptance, except where applicable law requires otherwise.
